1. Acceptance & Scope

By accessing this website or engaging SIS Sundist IT Services FZ-LLC (“SIS”, “SIS-IT”, “we”, “our”) for any services, you (“Client”, “you”) agree to be bound by these Terms & Conditions.
These Terms apply to all website visitors, prospects, and contracted clients. Any conflicting terms proposed by a client are only valid if expressly accepted in writing by SIS-IT.

2. Orders, Pricing & Payment

  • All quotations and proposals issued by SIS-IT are non-binding until formally accepted in writing or through an official Purchase Order.
  • Prices exclude taxes, customs, and duties unless specified otherwise.
  • Payments must be made within the agreed payment term specified on the invoice.
  • In case of late payment, SIS-IT reserves the right to suspend services and apply administrative or legal recovery measures.

3. Delivery, Risk & Returns

  • Delivery schedules are estimated and provided in good faith.
  • Risk transfers to the Client once goods or deliverables are dispatched or access is granted.
  • Clients must inspect and report any issue within 5 working days of delivery. After that, deliverables are considered accepted.

4. Website Use & Intellectual Property

  • All content on sis-it.net, including text, visuals, code, and trademarks, is the property of SIS-IT or its licensors and may not be copied, reused, or distributed without prior written consent.
  • The website may include links to third-party sites; SIS-IT is not responsible for their content or policies.
  • Unauthorized attempts to penetrate, disrupt, or extract data from the website are strictly prohibited.

5. Confidentiality & Intellectual Property Rights

  • All business, technical, and contractual information exchanged between SIS-IT and the Client is considered confidential.
  • SIS-IT retains all intellectual property rights over methodologies, frameworks, tools, and pre-existing materials.
  • Unless otherwise stated, the Client receives a non-exclusive right to use deliverables internally.

6. Warranties & Liability

  • SIS-IT delivers products and services with professional care and in accordance with agreed specifications.
  • All hardware products include a 12-month warranty, starting from the date of shipment.
  • Except where expressly stated, all services are provided “as-is” without implied warranties.
  • SIS-IT shall not be liable for any indirect, incidental, or consequential damages.
  • Total liability, if applicable, shall not exceed the total paid amount for the related service engagement.

7. Data Protection & Privacy

  • SIS-IT respects applicable data protection laws, including UAE data provisions and GDPR principles where relevant.
  • Personal data collected through forms, service requests, or contractual engagements is used strictly for business communication and service performance.

8. Compliance & Legal Use

  • Clients agree to use SIS-IT’s services and website in compliance with applicable laws and regulations.
  • Any use related to unlawful activities, data abuse, export-controlled technologies, or unauthorized access is strictly prohibited.

9. Force Majeure

SIS-IT is not liable for delays or service interruptions caused by events outside reasonable control including, but not limited to, natural disasters, cyberattacks, governmental restrictions, strikes, or network outages.

10. Termination

  • Either party may terminate a service contract in case of material breach not cured within the notified rectification period.
  • Upon termination, all outstanding invoices remain due. Confidentiality and IP clauses survive termination.

11. Updates to Terms

SIS-IT may update these Terms periodically to reflect legal, operational, or commercial changes. Continued use of the website or services after updates constitutes acceptance of revised Terms.

12. Governing Law & Dispute Resolution

  • These Terms are governed by the laws of the United Arab Emirates (Dubai jurisdiction) unless otherwise contractually agreed.
  • Any dispute shall first be addressed amicably. If unresolved, it shall be submitted to the competent courts or arbitration authority in Dubai.
